The "Three-Pillar" Compliance Framework

In India, a single valuation report is rarely enough. Different regulators speak different languages. We provide a consolidated valuation package that covers all three critical pillars:

  • 1. The Companies Act Valuation (For Share Allotment)
  • The Rule: Under Section 62 and Section 42 of the Companies Act, 2013, a company cannot issue shares on a preferential basis without a valuation report.
  • The Requirement: This report must be issued by a Registered Valuer (IBBI) (Securities or Financial Assets Class).
  • Our Service: We provide IBBI-compliant reports that justify the pricing of your equity, ensuring the Form PAS-3 (Return of Allotment) is approved by the ROC without queries.
  • 2. The Income Tax Valuation
  • The Rule: Under Section 56(2)(x) and Rule 11UA— From the point of view of Investors, the Company need to get a valuation done under Section 56(2)(x) of Income Tax Act read with Rule 11UA of the Income Tax Rules, 1962 to ensure that the transaction is tax defensible.
  • The Requirement: We use DCF Method/ other internationally acceptable methods for valuation of CCPS/ CCD and Adjusted NAV method for valuation of Equity Shares to ensure tax compliance.

  • 3. FEMA Valuation (For Foreign Investors / FDI)
  • The Rule: If you are raising funds from foreign investors (FDI), the RBI requires that shares are not issued below the Fair Value.
